Part of the legal team:

  • Drafting, negotiating and advising Botswana Power Corporation and the Ministry of Minerals, Energy and Water Resources on the Operation and Maintenance Agreement and Human Resources Agreement with Steag Energy Services GmbH for the operation and maintenance of the 600MW Morupule B Power Station;
  • Drafting, negotiating and advising Botswana Power Corporation on the Operation and Maintenance Agreement with China National Electric Engineering Company Limited (CNEEC) for the operation and maintenance of the 600MW Morupule B Power Station;
  • Advising Botswana Power Corporation on amendments of the EPC Contract between BPC and CNEEC and management of disputes and outstanding works arising from the EPC Contract of the 600MW Morupule B Power Station;
  • Which acted for Botswana Meat Commission in the drafting and negotiation of the marketing and distributorship agreement with GPS Food Group, a leading service provider in managing the production, logistics and marketing elements of the supply chain of BMC’s beef and beef products;
  • Acted for Botswana Meat Commission in drafting the Livestock Purchase Agreement which governs Botswana’s livestock and meat industry as well as beef exports to the European Union;
  • Which advised First National Bank (alongside First Rand Bank Limited) on a BWP 400 million Facility granted to Botswana Development Corporation;
  • Which acted for Standard Chartered Bank Limited in a Structured Warehouse Financing transaction with Choppies Limited valued at BWP 120 million;
  • Which acted for Choppies Limited in the purchase of Supa Save (Proprietary) Limited and the merger notification and filing of the transaction with the Competition Authority;
  • Acting for Stanbic Bank Botswana Limited (alongside Standard Chartered Bank South Africa) on a Term Loan Development Facility with Diamond Technology Park (Proprietary) Limited on the extension of the Diamond Technology Park development valued at BWP 69 million;
  • Acting for CEDA in the closure of its investment fund, CEDA Venture Capital Fund valued at BWP 120 million;
  • Acting for Okavango Wilderness Safaris Limited in preparation of various Shareholders Agreements, Management and Marketing Agreements and Sub Lease Agreements of various wildlife and tourism concessions located throughout Botswana;
  • Laurelton Diamonds Botswana (a subsidiary of Tiffany and Co.) on various employment and dispute related matters;
  • Providing ongoing legal advice to institutions such as Botswana Meat Commission, Mupane Gold Mining (Proprietary) Limited, Okavango Diamond Company (Proprietary) Limited, Diamond Trading Company Limited, Botswana Public Officers Pension Fund, Debswana Pension Fund, Botswana Railways, CEDA, and Okavango Wilderness Safaris; and
  • Which prepared an article for the Practical Law Company titled ‘Construction and Projects in Botswana: An Overview’ currently available on the Practical Law Company Website.
